Who should attend: Professionals interested in implementing or managing electronic commerce, including online and IS professionals, security managers, EDI and Intranet Managers, purchasing managers, lawyers, accountants, and auditors. Attendees are not expected to have any prior knowledge other than a general understanding of business transactions.

This tutorial will explain the application of common sense legal principles to a new field of commerce. It will provide a broad overview of the legal and record keeping issues of electronic commerce. It will describe EC from a lawyer's perspective and place legal issues in a conceptual framework.

It will discuss in detail the issues of electronic contract formation, electronic signatures, certification authorities, computer evidence and privacy, establishing trust in cyberspace, and trading partner agreements. We will close with a thorough discussion of EC records, particularly those created for state and federal tax purposes and the role of third party record keepers. This tutorial offers an interactive setting, with ample time for questions and dialog.

Specific topics include:

-    An electronic contract lawsuit in the pharmaceutical industry
-    Admission of Email evidence in a famous criminal lawsuit
-    Rejection of Email evidence in a less-than-famous civil lawsuit
-    Different business models for establishing trust in EC
-    The Model EDI Trading Partner Agreement
-    Digital Signature Legislation in Utah, California and other states
-    Digital Signature Guidelines from American Bar Association
-    IRS regulations on the recording of electronic transactions
-    A model policy for recording electronic messages for tax purposes
-    A third-party recordkeeper model

 


Benjamin Wright   is the author of The Law of Electronic Commerce (Aspen Law & Business), a comprehensive book on the legality of electronic contracts. He is also editor of the Journal of Electronic Commerce, a quarterly journal covering technology, business, legal and security issues in online industry. A graduate of Georgetown University Law School, Mr. Wright is an independent attorney practicing electronic commercial law in Dallas, Texas.
